These Terms and Conditions ("Terms") govern all orders, sales, and supply of products by Bhavna Enterprises (hereinafter "the Company", "we", "us"), a manufacturer registered at Plot No. 265, Sector 56, Phase 5, EHTP, Kundli HSIIDC Industrial Area, Sonipat – 131028, Haryana, India. By placing an order or entering into a purchase agreement with us, you ("the Buyer", "you") agree to be bound by these Terms.
1. Acceptance of Orders
All orders are subject to acceptance by Bhavna Enterprises. An order is deemed accepted only upon issuance of a written order confirmation or proforma invoice by us. We reserve the right to decline any order without providing a reason.
2. Minimum Order Quantity (MOQ)
The standard minimum order quantity is 10,000 (ten thousand) pieces per product variant. Custom-printed orders may carry a different MOQ depending on design complexity. MOQ requirements will be communicated at the time of quotation.
3. Pricing & Quotations
All prices quoted are exclusive of GST unless stated otherwise. Prices are valid for 30 days from the date of quotation. We reserve the right to revise prices due to changes in raw material costs, fuel surcharges, or other market conditions. Final pricing will be confirmed in the proforma invoice.
4. Payment Terms
Standard payment terms are 100% advance payment before production commences, unless a credit arrangement has been separately agreed in writing. For repeat institutional buyers, payment terms may be negotiated. All payments must be made in Indian Rupees (INR) via NEFT/RTGS/cheque to the bank account specified in our invoice.
5. Custom Printing & Artwork
For custom-printed bags, the Buyer is responsible for providing print-ready artwork in the format specified by us. Production will commence only after written approval of the print proof by the Buyer. Bhavna Enterprises is not liable for errors in the final product that were present in the approved proof. Any changes requested after proof approval may result in additional charges and revised lead times.
6. Lead Times & Delivery
Standard (non-custom) orders typically dispatch within 5–7 working days from receipt of payment. Custom-printed orders dispatch within 10–15 working days after artwork approval and payment. Lead times are indicative and may vary due to production load, force majeure, or logistics delays. Bhavna Enterprises will not be liable for losses arising from delivery delays beyond our reasonable control.
7. Shipping & Risk
Goods are dispatched ex-factory (Kundli, Sonipat) unless otherwise agreed. Risk of loss or damage passes to the Buyer upon handover to the carrier. Freight charges, insurance, and applicable taxes are to the Buyer's account unless a delivered price has been agreed. We will arrange dispatch via reputable courier or transport partners; however, we do not guarantee transit times.
8. Inspection & Claims
The Buyer must inspect goods upon receipt and notify us in writing of any shortages, defects, or non-conformances within 48 hours of delivery. Claims raised after this period may not be entertained. Photographic evidence and batch details must be provided with any claim. Accepted claims will be resolved by replacement of defective goods or credit note at our discretion.
9. Returns & Cancellations
Custom-printed orders cannot be returned or cancelled once production has commenced. Standard orders may be cancelled before dispatch subject to a restocking fee. Goods returned without prior written authorisation will not be accepted. All authorised returns must be in original, unused condition.
10. Intellectual Property
The Buyer warrants that any artwork, logos, or trademarks provided for custom printing do not infringe third-party intellectual property rights. The Buyer indemnifies Bhavna Enterprises against any claims arising from the use of such materials. Bhavna Enterprises retains ownership of all tooling, dies, and printing plates developed for the Buyer's order.
11. Limitation of Liability
Our liability for any claim arising from the supply of goods is limited to the invoice value of the goods in question. We are not liable for indirect, consequential, or special losses including loss of profit, loss of business, or regulatory penalties. Nothing in these Terms limits liability for fraud or death/personal injury caused by our negligence.
12. Governing Law & Disputes
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Sonipat, Haryana. We encourage resolution of disputes through good-faith negotiation before initiating legal proceedings.
13. GST & Taxation
Bhavna Enterprises is a GST-registered manufacturer (GSTIN: 06AAUFB1980A1ZK). All applicable taxes will be charged as per prevailing GST rates. The Buyer is responsible for providing their GSTIN for B2B transactions to enable input tax credit.
14. Amendments
We reserve the right to update these Terms at any time. The version published on our website at the time of order placement shall govern that transaction. Continued business with us constitutes acceptance of the current Terms.
